The Applicant agrees that the instalments, if any, shall be paid to the Seller without the need of express demand and regardless of whether or not a copy of this Reservation Application has been delivered to the Applicant, either by payment at the office or by direct payment into our peso account at the Banco de oro, National Highway, Candon City Ilocos Sur 2710 Philippines.

In support of this Reservation Application for the unit described above, the Applicant hereby delivers to the Seller as Reservation Deposit (hereunder the “Reservation Deposit”) as listed above

The Applicant agrees that this Reservation Application is non-transferable. Any transfer made by the Applicant shall, as to the Seller, be void and without effect.

The Applicant grants the Seller the right to unilaterally cancel this Reservation Application without the need of further notice to the Applicant, and to forfeit (as and by way of liquidated damages) the Reservation Deposit and all other payments made under this Reservation Application, upon the occurrence of any of the following events:

1. Failure of the Applicant to pay any instalment as stated in the schedule above; or
2. Voluntary withdrawal of the Applicant from this Reservation Application for any reason whatsoever: or
3. Failure of the Applicant to sign and deliver the prescribed Contract to Sell within five (5) days of the of the receipt of the Contract to Sell by the Applicant; or
4. Transfer made by the Applicant of this Reservation Application.

The Applicant agrees that the Seller retains the right to unilaterally cancel this Reservation Application for valid reasons like force majeure, litigation, and other events which may prevent the Seller from selling the Unit at any time before the Seller shall have received a deposit. The unilateral cancellation of this Reservation Agreement under this paragraph shall be effected by the Seller by giving the Applicant a written notice thereof and by fully reimbursing without interest the Applicant of all payments previously made pursuant to this Reservation Application.

The Applicant understands and agrees that any representation or warranty made by any sales agent or broker not embodied in the Contract to Sell shall not be binding on the Seller, unless such representation or warranty is reduced into writing and is confirmed and signed by the Seller through its President. The same rule applies to any amendment or modification of this Reservation Application.

The Applicant understands and agrees that this Reservation Application is not binding upon the Seller unless approved by and signed in behalf of the Seller, and unless the required Reservation Deposit is received by the Seller as evidenced by an official receipt issued by the Seller’s cashier. The Applicant acknowledges that any payment made to a sales agent or broker will not be recognised as payment to the Seller until it is actually received by the Seller’s cashier.

The Applicant understands and agrees that this Reservation Application alone embodies the entire understanding between the Applicant and the Seller as regards the reservation of the Unit described above, and any stipulation, representation, or agreement or promises not contained in this Reservation Application or incorporated herein by reference shall not bind the Seller.

The Seller warrants and represents that it has the power and authority to accept and approve this Reservation Application with respect to the Unit identified herein.

This Reservation Application, once accepted and approved by the Seller, shall be treated by the Applicant and the Seller as an integral part of the Contract to Sell to be executed by the parties.
